Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the SureBright Anywhere website (https://www.surebrightanywhere.com), platform, applications, and related services (collectively, the “Platform”), operated by SureBright Technologies Inc. (“SureBright”, “we”, “us”, or “our”).

By accessing or using the Platform, or by purchasing or attempting to purchase any warranty, protection plan, or related service offered through the Platform (the “Services”), you agree to be bound by these Terms. If you do not agree, you must not access or use the Platform or Services.

We may update these Terms from time to time. Any changes will become effective upon posting, and your continued use of the Platform or Services constitutes acceptance of the revised Terms.

SureBright Anywhere enables users to purchase warranty and protection plans for eligible products from a variety of retailers, marketplaces, and brands across 60+ product categories.

SureBright acts as a technology platform that facilitates access to warranty and protection plans and allows users to manage account information, warranty purchase history, purchases, and related coverage and contract information.

Warranty and protection plans are service contracts and not product sales. Unless expressly stated otherwise, SureBright is not the insurer, obligor, guarantor, administrator, or underwriter of any warranty or protection plan. Coverage is managed by SureBright using its technology platform and is provided, administered, governed, and fulfilled by contracted third-party providers pursuant to the applicable plan terms and regulations.

By accessing or using the Platform, you represent and warrant that you are legally capable of entering into binding contracts and that all information you provide is accurate, complete, current, and not misleading.

You agree to provide accurate product and purchase information, including product condition, purchase date, and purchase price, retain proof of purchase and any supporting documentation, provide additional information reasonably requested to verify eligibility, coverage, or claims, and use the Platform and Services only for lawful purposes and in accordance with these Terms.

If you provide false, inaccurate, incomplete, misleading, fraudulent, or otherwise improper information, SureBright and any applicable warranty provider may, at any time and without prior notice, deny or reverse claims, suspend or cancel coverage, restrict, suspend, or terminate access to the Platform, recover any amounts paid or benefits provided, require reimbursement of costs incurred in investigating or responding to the conduct, and pursue any other rights, remedies, or legal action available under applicable law.

Each warranty or protection plan is subject to its own terms, conditions, exclusions, limitations, eligibility requirements, and claim procedures, as set forth in the applicable plan documentation. Coverage, where available, may include repair, replacement, reimbursement, or other benefits, depending on the specific plan selected. Manufacturer warranties may apply separately and are not provided by SureBright.

Coverage is available only after successful purchase, satisfaction of applicable eligibility requirements, and any required verification. Coverage determinations, claim decisions, and benefits are governed solely by the applicable plan documentation, and certain products, conditions, losses, or damages may be excluded from coverage.

SureBright reserves the right, at its discretion, to modify, suspend, or discontinue available plans, features, pricing, or offerings, and to reject, limit, or cancel coverage for products that do not satisfy applicable eligibility requirements.

Prices for warranty and protection plans are displayed on the Platform at the time of purchase and may change at any time prior to purchase. Coverage will not become effective unless and until payment has been successfully received and accepted.

Payments are processed through third-party payment providers. SureBright does not store full payment card details. Applicable taxes, fees, and other charges may be added as required by law.

SureBright reserves the right to update pricing, fees, or available plans at any time prior to purchase, and to refuse, suspend, cancel, reverse, or limit any transaction, coverage, or plan for fraud, suspected fraud, non-payment, chargebacks, errors, misrepresentation, compliance, risk management, or legal reasons.

To the extent permitted by law, SureBright may recover any amounts owed or improperly obtained in connection with the Platform or Services.

Claims must be submitted and processed in accordance with the applicable warranty or protection plan documentation. Claims may be subject to verification, investigation, and requests for additional information, including receipts, photographs, diagnostics, proof of purchase, or other documentation reasonably required to evaluate a claim. You are responsible for complying with all claim requirements, timelines, and documentation obligations set out in the applicable plan.

Failure to comply with applicable claim requirements may result in the delay, suspension, or denial of a claim.

SureBright is not responsible for any product-related issues, including product defects, quality, condition, performance, delivery, shipping, fulfilment, returns, exchanges, refunds, or retailer policies. SureBright does not provide, administer, or assume responsibility for any manufacturer warranty and is not responsible for any statements, representations, warranties, acts, or omissions of any retailer, manufacturer, seller, or other third party.

All product-related issues, including defects, returns, refunds, warranty disputes, and manufacturer warranty claims, must be addressed directly with the applicable retailer, manufacturer, or seller. SureBright is not a party to any sale, purchase, delivery, or fulfilment transaction between you and any retailer, manufacturer, or seller and assumes no responsibility or liability arising from such transactions.

You may not submit false, misleading, incomplete, or fraudulent information or claims; engage in fraudulent, abusive, unlawful, or unauthorized activity; use another person's account or permit unauthorized access to your account; interfere with, disrupt, damage, or impair the Platform or its systems; attempt to gain unauthorized access to any account, system, or data; use automated tools, bots, scraping technologies, or similar methods without authorization; reverse engineer, decompile, disassemble, or attempt to extract the source code of any part of the Platform; circumvent any security, access, eligibility, or usage restrictions; or use the Platform for any unlawful or unauthorized commercial purpose.

SureBright may, at its sole discretion and without prior notice, suspend, restrict, terminate, or deny access to the Platform, cancel any associated coverage or plans and pursue any other rights or remedies available under applicable law in response to actual or suspected violations of these Terms.

Your use of the Platform is subject to our Privacy Policy, available at https://www.surebright.com/privacy-policy. We may collect, use, disclose, store, and process information in accordance with our Privacy Policy, including for claims processing, fraud prevention, analytics, marketing, service improvement, compliance, security, and other legitimate business and operational purposes.

By accessing or using the Platform, you acknowledge that your information will be handled as described in the Privacy Policy.

All content, materials, technology, software, designs, text, graphics, logos, trademarks, service marks, and other intellectual property available through the Platform are owned by or licensed to SureBright and are protected by applicable intellectual property and other laws. All rights not expressly granted are reserved.

Subject to these Terms, SureBright grants you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable right to access and use the Platform solely for your personal, non-commercial use.

You may not copy, reproduce, distribute, modify, create derivative works from, reverse engineer, decompile, scrape, extract, or otherwise use any portion of the Platform, its content, or technology except as expressly permitted by these Terms. You may not use any SureBright branding, trademarks, trade names, logos, or other proprietary materials without prior written permission.

SureBright may, at its sole discretion and without prior notice, suspend, restrict, terminate, or deny access to the Platform and pursue any other rights or remedies available under applicable law in response to any violation of this Section or these Terms.

No rights or licenses are granted except as expressly set forth in these Terms.

The Platform and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

SureBright disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, and any warranties arising from a course of dealing, usage, or trade practice.

SureBright does not warrant or guarantee that the Platform will be available, uninterrupted, secure, error-free, or free from defects; that any content or information is accurate, complete, or reliable; that any errors will be corrected; or that the Platform will operate without interruption caused by third-party services, networks, or systems.

SureBright does not guarantee the performance, actions, or decisions of any insurer, administrator, retailer, manufacturer, or other third party.

All warranty and protection plan benefits remain subject to the applicable plan documentation.

To the fullest extent permitted by applicable law, SureBright shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, loss of use, loss of goodwill, or business interruption, arising out of or relating to the Platform, Services, or these Terms, even if advised of the possibility of such damages.

SureBright shall not be liable for any acts, omissions, decisions, products, services, or conduct of any third-party insurer, administrator, retailer, manufacturer, payment provider, or other third party.

To the fullest extent permitted by applicable law, SureBright's total aggregate liability arising out of or relating to the Platform, Services, or these Terms shall not exceed the total amounts paid by you to SureBright for the applicable warranty or protection plan giving rise to the claim.

You agree to indemnify, defend, and hold harmless SureBright, its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any claims, demands, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to: (i) your access to, use of, or misuse of the Platform or Services; (ii) your violation of these Terms or any applicable warranty or protection plan; (iii) any false, misleading, inaccurate, or fraudulent information provided by you; (iv) your violation of any applicable law or the rights of any third party; or (v) any dispute between you and a retailer, manufacturer, insurer, administrator, or other third party.

SureBright may, at its discretion and without prior notice, suspend, restrict, or terminate your access to the Platform or Services if: (i) you violate these Terms; (ii) fraud, suspected fraud, or misuse of the Platform is identified; or (iii) SureBright determines that such action is necessary for legal, regulatory, security, or risk management reasons.

Any valid warranty or protection plan will continue to be governed by its applicable terms and conditions unless cancelled, terminated, or voided in accordance with those terms. Upon termination, your access to the Platform and associated account features may be disabled or removed.

Termination does not limit any rights or remedies available to SureBright. Any provisions of these Terms that by their nature should survive termination, including disclaimers, limitations of liability, and indemnification obligations, shall survive termination.

Warranty and protection plans may be regulated as service contracts or similar products under applicable law.

Any cancellation rights, refund rights, disclosures, consumer protections, or other requirements applicable to a warranty or protection plan will be governed by the terms of the applicable plan documentation and any mandatory requirements of applicable law.

To the extent required by applicable law or in the event of a conflict, the terms of the applicable warranty or protection plan shall control.

To the fullest extent permitted by applicable law, any dispute, claim, or controversy arising out of or relating to the Platform, Services, or these Terms shall be resolved by final and binding arbitration administered by the American Arbitration Association (“AAA”) in accordance with its applicable consumer arbitration rules. The arbitration may be conducted remotely, by telephone, by video conference, or in another manner permitted by the applicable AAA rules.

You waive any right to participate in any class action, class arbitration, collective action, or representative proceeding, and agree to bring claims only in your individual capacity, to the fullest extent permitted by applicable law.

Notwithstanding the foregoing, either party may bring an individual action in small claims court for qualifying claims.

To the extent applicable law does not permit the enforcement of any portion of this Section, such portion shall be enforced only to the maximum extent permitted by law.

These Terms shall be governed by the laws of the State of Delaware, except to the extent otherwise required by applicable law.

SureBright intends to operate the Platform and Services in accordance with applicable laws and regulations. Nothing in these Terms is intended to limit any rights or obligations that cannot be waived under applicable law.

These Terms constitute the entire agreement between you and SureBright regarding the Platform and Services and supersede all prior or contemporaneous understandings relating to their subject matter.

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

SureBright's failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other right.

SureBright may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these Terms without SureBright's prior written consent.
